Terms of Service

1. Overview

These Terms of Service ("Terms") govern your use of the services provided by GCOAT, LLC ("GCOAT," "we," "us," or "our"), a software development and digital consulting company registered in the U.S. Virgin Islands. By engaging our services, you ("Client" or "you") agree to these Terms.

2. Scope of Services

GCOAT provides custom software development, web design, web application development, digital consulting, and related technology services. The specific scope, deliverables, and timeline for each project will be defined in a written project proposal or statement of work ("SOW") agreed upon by both parties before work begins.

3. Payment Terms

  • Deposit: A 50% deposit of the total project cost is required before work begins.
  • Final Payment: The remaining 50% is due upon project completion and delivery of final deliverables.
  • Payment Methods: Payment may be made via PayPal, bank transfer, or other methods agreed upon in writing.
  • Late Payments: Invoices unpaid after 15 days may be subject to a 1.5% monthly late fee. GCOAT reserves the right to pause work on projects with outstanding balances.

4. Intellectual Property

  • All intellectual property created during a project, including source code, designs, and documentation, transfers to the Client upon receipt of final payment in full.
  • Until final payment is received, GCOAT retains all rights to the work product.
  • GCOAT retains the right to display completed work in its portfolio and marketing materials unless otherwise agreed in writing.
  • Third-party libraries, frameworks, and open-source components used in the project remain subject to their respective licenses.

5. Revisions

Each project includes two (2) rounds of revisions after the initial deliverable is presented. Revisions are limited to changes within the original project scope. Additional revisions or scope changes beyond the original agreement will be quoted separately and require written approval before work begins.

6. Project Timeline

Estimated timelines are provided in good faith in the project proposal. GCOAT will make reasonable efforts to meet agreed-upon deadlines. Delays caused by the Client, including late feedback, late content delivery, or scope changes, may extend the timeline. GCOAT will communicate any anticipated delays promptly.

7. Client Responsibilities

The Client agrees to:

  • Provide all required content, assets, credentials, and feedback in a timely manner.
  • Designate a single point of contact for project communication.
  • Review and approve deliverables within the timeframe specified in the SOW.

8. Limitation of Liability

GCOAT shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the services provided. GCOAT's total liability for any claim shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

9. Acceptable Use

The Client agrees not to use GCOAT's services to create products or content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable. GCOAT reserves the right to refuse or terminate any project that violates this policy.

10. Termination

  • Either party may terminate the engagement with 30 days' written notice.
  • Upon termination, the Client is responsible for payment of all work completed up to the termination date.
  • If the Client terminates after work has begun, the deposit is non-refundable.
  • If GCOAT terminates, GCOAT will deliver all completed work to the Client and refund any payment for undelivered work.

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the agreement.

12. Dispute Resolution

Any disputes arising from these Terms or the services provided shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in the U.S. Virgin Islands, in accordance with applicable law. The laws of the U.S. Virgin Islands shall govern these Terms.

13. Changes to Terms

GCOAT reserves the right to update these Terms at any time. Significant changes will be communicated to active clients. Continued use of our services constitutes acceptance of the updated Terms.
